Scope of Application These General Terms and Conditions (T&C) apply to all services, projects, and orders concluded between Studio Green Velvet (hereinafter "Studio") and the client (hereinafter "Client"). Deviating conditions of the Client shall not be recognized unless the Studio expressly agrees in writing.
Contract Formation A contract between the Studio and the Client is formed as soon as: a written offer from the Studio is accepted, or a service has been commenced by the Studio and confirmed by the Client. All offers from the Studio are subject to change, non-binding, and valid only for the period stated in the offer.
Services The Studio provides creative services, such as: Branding & Corporate DesignWeb Design & Digital ProductsConsulting and StrategyThe exact scope of services is determined individually in the offer or contract. Changes or extensions require a written agreement.
Remuneration & Payment Remuneration is based on the agreed offer or contract. Invoices are to be settled within 14 days of the invoice date without deduction, unless otherwise agreed. In the event of late payment, the Studio reserves the right to charge default interest in accordance with statutory provisions. Additional services not included in the offer will be invoiced separately.
Client's Duties to Cooperate The Client is obligated to support the Studio in executing the order. This includes in particular: providing all required information, content, and materials in a timely manner; reviewing and approving drafts within agreed deadlines. Delays caused by the Client will postpone completion and possible delivery dates accordingly.
Usage Rights & Copyright All creative works produced by the Studio remain the property of the Studio until full payment has been received. Upon full payment, the Client receives the contractually agreed non-exclusive right of use for the created works. The Studio reserves the right to present works as references on its own website or in portfolios, unless otherwise agreed in writing.
Liability The Studio is only liable for damages caused intentionally or through gross negligence. Liability for indirect damages, consequential damages, or lost profits is excluded. The Studio accepts no liability for content, materials, or information provided by the Client.
Cancellation / Termination Before the start of the project, the Client may cancel the order at any time in writing. Services already rendered will be invoiced on a pro-rata basis. After the project has started, the contract may only be terminated for good cause.
Data Protection & Confidentiality The Studio treats all client data confidentially. Personal data is processed in accordance with the privacy policy of Studio Green Velvet. All information transmitted during the collaboration may only be used by both parties for the purpose of project execution.
Final Provisions Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Should individual provisions of these T&Cs be invalid, the validity of the remaining provisions shall not be affected. The place of jurisdiction for all disputes arising from this contractual relationship is Vienna, Austria.
